Terms of service

These terms apply to all services and products supplied by Brixotech Ltd, Plot 14, Kira, Bulondo Road, Kampala, Uganda. A signed proposal, quotation or order confirmation together with these terms forms the agreement between us.

Where a separate signed contract exists for a specific engagement, that contract takes precedence over these terms for the work it covers.

Quotations are valid for the period stated on the document, and for thirty days where no period is stated.

Prices are quoted in Uganda Shillings unless otherwise stated and exclude VAT unless the document says otherwise. Third-party costs such as hosting, domains, licences and SMS credits are billed at cost.

Unless otherwise agreed in writing, project work requires a 60% deposit before commencement, with the balance due on delivery.

Invoices are payable within the period stated on the invoice. We reserve the right to suspend work or services on accounts more than thirty days overdue, after written notice.

System product licences purchased through the website are payable in full at checkout.

The agreed scope is what is written in the proposal or quotation. Anything outside it is a change request, which we will estimate separately before starting.

We will not silently absorb scope creep and we will not surprise you with an unexpected invoice. Changes are always agreed in writing first.

On full payment, ownership of custom source code, designs and documentation produced specifically for you transfers to you.

We retain ownership of our pre-existing frameworks, libraries, tooling and any packaged product systems, which are licensed to you for use rather than transferred.

Unless you ask us not to, we may reference the engagement by name in our portfolio.

We warrant that delivered software will materially perform as described for ninety days after handover, and we will fix defects reported in that period at no charge.

Product system licences include twelve months of bug-fix support. New features, integrations and data migrations beyond the agreed scope are chargeable.

The warranty does not cover faults caused by changes made by third parties, by infrastructure we do not manage, or by use outside the documented purpose.

Our total liability under any engagement is limited to the fees paid to us for that engagement.

We are not liable for indirect or consequential loss, including loss of profit, revenue or data, except where liability cannot be limited under Ugandan law.

Each party will keep the other's confidential information private, and will use it only for the purposes of the engagement. This obligation survives the end of the agreement.

Every invoice, quotation, receipt and proposal we issue carries a unique verification code and QR code. A document that cannot be verified at our verification page should not be treated as issued by us.

These terms are governed by the laws of the Republic of Uganda, and the courts of Uganda have exclusive jurisdiction over any dispute.
